Limited Use

Intelligent Pathways grants to you a nonexclusive, non transferable, revocable right to use the Software hosted on Intelligent Pathways' hosting environment solely for the purpose of evaluation for possible licensing from Intelligent Pathways and only for the Trial Period of 30 days, which period shall begin upon acceptance of these terms and conditions. You shall not copy, sell, rent, sublicense, give away or otherwise transfer the Software or any portion thereof. You further agree that you shall not reverse-compile, disassemble, reverse-assemble or trace the Software.

Ownership and Non-disclosure

You acknowledge and agree that Intelligent Pathways is the owner, or the authorised distributor of, the Software and, except as set out above, this Trial Agreement does not grant to you any right, title or interest in or to this Software, including in or to any intellectual property or proprietary right in or to the Software, and you shall not obtain or claim any right, title or interest in or to the Software, or any portion thereof, or any intellectual property or proprietary right therein. You further acknowledge and agree that the Software embodies confidential information and trade secrets of Intelligent Pathways and you shall not disclose any portion of the Software to any third party, including any person who is not a full-time employee having a need to know for the purpose of this Trial Agreement, unless any such third party or person has executed a nondisclosure agreement reasonably acceptable to Intelligent Pathways and covering the Software.

Login Username and Password

Where we provide you with a username and password to access the Trial Product, these login details are confidential to Intelligent Pathways and should not be disclosed to any third party. You should not allow any such third parties to access the Trial Product, whether on your behalf or otherwis

Privacy

Intelligent Pathways will comply with Intelligent Pathways Privacy Statement. Intelligent Pathways will not reveal your personal information to external organisations.

Service and Data Storage

Intelligent Pathways' services may be subject to limitations, delays, and other problems inherent in the use of the internet and electronic communications. Intelligent Pathways is not responsible for any delays, delivery failures, loss of data or other damage resulting from such problems. Trial data will be discarded upon termination of the trial agreement.

Term

This Trial Agreement shall commence as of the date on which the acceptance of these terms and conditions have been received by Intelligent Pathways and, unless terminated earlier in accordance with this Agreement or extended agreement of the parties, shall terminate at 11:59 p.m. on the thirtieth (30th) day of the Trial Period. Any provision of this Trial Agreement intended to survive the termination of this Agreement shall survive termination of this Trial Agreement and continue in full force and effect.
